1. Grant of Rights

You are granted a non-exclusive, worldwide, royalty-free license to use, copy, modify, and distribute the Licensed Work for personal, research, educational, and internal business purposes.

The source code may be inspected, modified, compiled, and redistributed provided that this license and all copyright notices are included.

2. Permitted Ecosystem Use

The following uses are explicitly permitted:

  • Operating nodes or validators within the Modulr network
  • Building applications or services that interact with the network
  • Installing the Licensed Work on hardware, robots, or devices
  • Running the Licensed Work as part of internal infrastructure
  • Developing software that integrates with the Licensed Work

These activities do not constitute a competing service.

3. Commercial Restrictions

Until the Change Date, the Licensed Work may not be used to provide a commercial product or service whose primary purpose is to offer the functionality of the Licensed Work.

Prohibited uses include:

  • Selling the Licensed Work as a hosted service
  • Offering a managed or cloud version of the Licensed Work
  • Operating the Licensed Work as a platform or service for third parties (including SaaS, PaaS, or similar offerings)
  • Repackaging the Licensed Work as a competing platform
  • Integrating the Licensed Work into a commercial product whose primary value derives from the Licensed Work

Operating the Licensed Work as a hosted platform or service for third parties is considered a competing service.

4. Commercial Licensing Option

Organizations wishing to commercially distribute, white-label, or integrate the Licensed Work into a commercial product must obtain a separate commercial license from Undline Software LLC.

Approved commercial uses may require attribution such as:

"Powered by Modulr."

or similar branding within the product or service.

5. Change Date (Open Source Conversion)

On the Change Date, this version of the Licensed Work will automatically convert to the MIT License.

After the Change Date, all commercial restrictions described in this license will no longer apply.

6. Version-Based Licensing

Each released version of the Licensed Work carries its own Change Date.

Example:

  • Version 1.0 → MIT after 4 years
  • Version 2.0 → MIT after 4 years

7. Trademarks

This license does not grant rights to use the Licensor's trademarks, logos, branding, or domain names except where explicitly authorized through a separate commercial agreement.

8. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9. Limitation of Liability

In no event shall the Licensor be liable for any damages arising from the use of this software.
